SECTION 1. AGREEMENT AND ACCEPTANCE

These User Terms and Conditions (the "Agreement" or "Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Good Steward Technology Group LLC, an Illinois limited liability company operating under the registered trade name Piesa Giving ("Piesa Giving," "Good Steward," "Company," "we," "us," or "our"). These Terms govern your access to and use of the Piesa Giving website located at www.piesagiving.com (the "Site"), Piesa Giving's iOS application, Piesa Giving's Android application, and all related services, features, and content (collectively, the "Platform").

BY CREATING AN ACCOUNT, ACCESSING THE PLATFORM, OR MAKING A DONATION THROUGH THE PLATFORM, YOU ACKNOWLEDGE THAT YOU HAVE READ THESE TERMS IN THEIR ENTIRETY, THAT YOU UNDERSTAND THEM, AND THAT YOU AGREE TO BE LEGALLY BOUND BY THEM. IF YOU DO NOT AGREE TO THESE TERMS, YOU MUST NOT CREATE AN ACCOUNT OR USE THE PLATFORM IN ANY WAY.

Piesa Giving reserves the right to amend, modify, or update these Terms at any time. The most current version of these Terms will always be available on the Platform. Your continued use of the Platform following the posting of any changes constitutes your binding acceptance of the revised Terms. It is your responsibility to review these Terms periodically.

These Terms incorporate by reference Piesa Giving's Privacy Policy, available at https://piesagiving.com/home/security_and_privacy, which is part of this Agreement.

SECTION 2. ELIGIBILITY AND ACCOUNT REQUIREMENTS

2.1 Age Requirement

YOU MUST BE AT LEAST EIGHTEEN (18) YEARS OF AGE TO CREATE AN ACCOUNT OR USE THE PLATFORM IN ANY WAY, INCLUDING MAKING DONATIONS. By creating an account or using the Platform, you represent and warrant that you are at least 18 years of age. Piesa Giving does not knowingly collect personal information from individuals under the age of 18. If Piesa Giving discovers that a user is under 18, the account will be immediately terminated and all associated recurring donations will be canceled. If you are a parent or guardian and believe your minor child has created an account, please contact us immediately at info@piesagiving.com.

2.2 Account Creation Requirement

An account is required to make donations through the Platform. You may browse nonprofit profiles on the Platform without an account, but you must create and maintain an active account to make one-time or recurring donations. By creating an account, you agree to provide accurate, current, and complete information and to keep that information updated at all times.

2.3 Account Security and Responsibility

You are solely responsible for maintaining the confidentiality of your account credentials, including your username and password. You agree to use a strong password and to not share your password with or disclose it to any third party under any circumstances. You accept full responsibility for all activities that occur under your account, whether or not authorized by you. You must notify Piesa Giving immediately at info@piesagiving.com if you suspect any unauthorized access to or use of your account. Piesa Giving is not responsible for any loss or damage arising from your failure to maintain the security of your account credentials or from any unauthorized access to your account resulting from your own acts or omissions.

2.4 One Account Per User

You may not create more than one account. You may not assign, transfer, or sell your account to any other person or entity. Accounts are personal and non-transferable.

2.5 U.S. Users Only

The Platform is operated from the United States and is intended for use by U.S.-based users. If you access the Platform from outside the United States, you do so at your own risk and are solely responsible for compliance with all applicable local laws and regulations. Piesa Giving makes no representation that the Platform is appropriate or available for use in locations outside the United States.

SECTION 3. THE PLATFORM — WHAT PIESA GIVING IS AND IS NOT

3.1 Purpose of the Platform

The Piesa Giving Platform is a for-profit charitable fundraising platform that enables users to discover U.S.-based 501(c)(3) nonprofit organizations and make voluntary charitable donations to those organizations. Piesa Giving connects donors with nonprofits — it does not itself operate as a charitable organization, fiscal sponsor, donor-advised fund, or charitable trustee.

3.2 Piesa Giving is a For-Profit Platform

Important Disclosure: Piesa Giving is a for-profit company, not a charity. Piesa Giving retains a fee from each donation you make. The nonprofit you select receives the donation amount after fees are deducted. You are donating to the nonprofit organization, not to Piesa Giving.

Good Steward Technology Group LLC d/b/a Piesa Giving is a for-profit limited liability company. As a for-profit fundraising platform, Piesa Giving retains a service fee from each donation processed through the Platform. This fee is disclosed to you prior to completing any donation. Your donation is made to the nonprofit organization you select, and Piesa Giving facilitates the transaction in exchange for its platform service fee.

3.3 Nonprofit Verification

Piesa Giving requires all nonprofit organizations listed on the Platform to provide documentation of their 501(c)(3) tax-exempt status and to certify that they are in good standing. However, Piesa Giving does not independently audit, oversee, or continuously monitor the activities, finances, or operations of any nonprofit listed on the Platform. THE PRESENCE OF A NONPROFIT ON THE PLATFORM DOES NOT CONSTITUTE AN ENDORSEMENT, RECOMMENDATION, OR GUARANTEE BY PIESA GIVING OF THAT NONPROFIT'S MISSION, ACTIVITIES, FINANCIAL PRACTICES, OR USE OF DONATED FUNDS. You are encouraged to conduct your own independent research before making any donation.

3.4 No Responsibility for Nonprofit Use of Funds

PIESA GIVING BEARS NO RESPONSIBILITY WHATSOEVER FOR HOW ANY NONPROFIT ORGANIZATION USES DONATION FUNDS FOLLOWING DISBURSEMENT. Piesa Giving's role ends at the point of disbursement to the nonprofit's connected payment account. Piesa Giving has no authority over, control of, or responsibility for the nonprofit's receipt, management, allocation, or expenditure of donated funds after disbursement.

3.5 Nonprofit Listing — Approval Criteria, Content Standards, and No Endorsement

Plain Language Summary: Piesa Giving decides which nonprofits appear on the Platform based on multiple factors including eligibility, documentation, good standing, and content standards. Being listed does not mean Piesa Giving agrees with or endorses a nonprofit's views or mission. Nonprofits that promote hate speech, violence, or other harmful content will be rejected or removed. These decisions are made entirely by the Piesa Giving team and are not subject to appeal.

The inclusion of any nonprofit organization on the Platform does not constitute an endorsement, approval, recommendation, or expression of agreement by Piesa Giving, Good Steward Technology Group LLC, or any of their members, managers, officers, or employees with respect to that nonprofit's mission, programs, activities, religious beliefs, political views, positions on social issues, affiliations, or any other aspect of that organization's identity or operations. Piesa Giving lists a wide variety of nonprofit organizations across many causes, belief systems, and communities. The presence of a nonprofit on the Platform reflects only that the organization has met Piesa Giving's eligibility requirements and content standards — it is not a statement of alignment, agreement, or support.

The Piesa Giving team evaluates nonprofit applications and continued participation based on multiple factors, which may include: valid 501(c)(3) status and required IRS documentation; submission of all required enrollment forms and EIN verification; current good standing with the IRS and applicable state authorities; compliance with charitable solicitation registration requirements; consistency of mission with IRS-approved purposes; the nonprofit's history, reputation, and any prior regulatory or legal issues; and compliance with Piesa Giving's content standards. Meeting minimum eligibility requirements does not guarantee listing approval.

Piesa Giving will reject or remove any nonprofit that the Piesa Giving team determines, in its sole and absolute discretion, promotes, engages in, supports, or is associated with any of the following: hate speech or content that promotes hostility toward any individual or group based on race, ethnicity, religion, gender, sexual orientation, disability, or other protected characteristics; violence, physical harm, or incitement; terrorism, extremism, or affiliation with designated hate organizations; unlawful discrimination in the provision of charitable services; fraud or misrepresentation of any kind; misuse or misappropriation of charitable funds; illegal activity of any kind; exploitation of vulnerable populations including children; content that poses a risk to public safety; or any conduct that Piesa Giving determines could damage donor trust or Piesa Giving's reputation. This list is illustrative and not exhaustive — Piesa Giving reserves the right to reject or remove any nonprofit for any reason in its sole discretion.

PIESA GIVING RETAINS SOLE, ABSOLUTE, AND UNREVIEWABLE AUTHORITY TO DETERMINE WHICH NONPROFIT ORGANIZATIONS ARE LISTED ON THE PLATFORM, WHICH ARE APPROVED FOR ENROLLMENT, WHICH ARE REMOVED, AND WHICH ARE DECLINED — AT ANY TIME AND FOR ANY REASON. These decisions are not subject to appeal, challenge, or review by any user, nonprofit, or third party. No nonprofit has a right to be listed, and no user has a right to demand that any nonprofit be listed, added, removed, or retained.

Users are encouraged to conduct their own independent research into any nonprofit before donating, including reviewing publicly available financial disclosures and mission statements. Piesa Giving is not responsible for and does not independently verify the accuracy of any nonprofit's self-reported content on the Platform.

SECTION 4. DONATIONS — FEES, PROCESSING, AND CONFIRMATION

4.1 Minimum Donation Amount

The minimum donation amount per transaction is one dollar ($1.00). Piesa Giving reserves the right to modify the minimum donation amount at any time upon notice posted on the Platform.

4.2 Fee Structure and What You See

Plain Language Summary: When you donate, two fees are deducted from your donation before the nonprofit receives it: a Stripe payment processing fee and a small Piesa Giving platform fee. You will always see exactly how much the nonprofit will receive before you confirm your donation. The fees below reflect current rates and are subject to change.

Piesa Giving charges a platform service fee on each donation, in addition to Stripe's payment processing fee. Both fees are deducted from your donation amount before disbursement to the nonprofit. The current fee structure is as follows:

Credit Card Donations: Stripe retains 2.9% + $0.30 per transaction; Piesa Giving retains 0.3%. The nonprofit receives the remaining amount (approximately 96.5% of your donation on a $100 gift).

Bank Account (ACH) Donations: Stripe retains 0.8%; Piesa Giving retains 0.2%. The nonprofit receives the remaining amount (99.0% of your donation on a $100 gift).

Example — Credit Card: On a $100.00 donation by credit card, Stripe retains $3.20, Piesa Giving retains $0.30, and the nonprofit receives $96.50.

Example — ACH/Bank Account: On a $100.00 donation by bank account, Stripe retains $0.80, Piesa Giving retains $0.20, and the nonprofit receives $99.00.

Prior to completing any donation, you will be shown the exact net amount that will be received by the nonprofit after all fees are deducted. Fee rates are subject to change. Piesa Giving will provide notice of any changes to its platform fee on the Platform prior to the effective date of such change.

4.3 Payment Processing Through Stripe

All donations are processed exclusively through Stripe, Inc., a third-party payment processor. Piesa Giving does not collect, store, or have access to your full credit card number, bank account number, or other sensitive payment credentials — all payment information is handled directly and securely by Stripe. By making a donation through the Platform, you agree to comply with Stripe's terms of service, available at www.stripe.com/legal. Piesa Giving is not liable for any acts, omissions, errors, or failures of Stripe in connection with the processing of your donation.

4.4 Authorized Payment Methods Only

You represent and warrant that any credit card, debit card, or bank account you use to make a donation on the Platform belongs to you or that you are expressly authorized by the account holder to use it for this purpose. Use of any payment method without authorization constitutes fraud and may result in immediate account termination and referral to law enforcement.

4.5 Donation Confirmation and Tax Summary

Following each completed donation, Piesa Giving will send a confirmation email to the email address associated with your account summarizing the donation amount, the recipient nonprofit, the date, and the net amount received by the nonprofit. Additionally, Piesa Giving will provide you with an annual donation summary statement reflecting all donations you made through the Platform during that calendar year. This summary is provided as a convenience for your personal records.

Important Tax Notice: Piesa Giving's confirmation email and annual summary statement are not official IRS tax receipt letters. Only the nonprofit organization that received your donation can issue an official charitable contribution acknowledgment for tax deduction purposes under IRS requirements. Please contact the nonprofit directly if you require an official tax receipt. Piesa Giving is not responsible for issuing tax receipts and makes no representation as to the tax deductibility of any donation.

4.6 Refund Policy

All donations made through the Platform are generally considered final upon confirmation. Piesa Giving evaluates refund requests on a case-by-case basis at its sole and absolute discretion. Piesa Giving is under no obligation to issue a refund for any completed donation. To request a refund, submit a support ticket through the Platform. Approved refunds, if any, will be processed back to the original payment method and may take five (5) to ten (10) business days to appear. Piesa Giving's decision on any refund request is final.

4.7 Nonprofit Profile Pages — Displayed Information and Disclaimer

When you view a nonprofit's profile on the Platform, you will see the following information to the extent the nonprofit has provided it:

The nonprofit's name and profile information;

The number of Platform users currently following the nonprofit;

Contact information including phone number, physical location, and website URL;

A short biography or mission description;

Any active fundraisers associated with the nonprofit;

A Donate button to initiate a donation.

Important — Nonprofit-Provided Information: All information displayed on a nonprofit's profile page is provided solely by the nonprofit and published by Piesa Giving in reliance on the nonprofit's own representations. Piesa Giving does not independently verify, fact-check, audit, or continuously monitor the accuracy, completeness, or currency of any nonprofit-provided profile information. Information may be inaccurate, outdated, or incomplete. Piesa Giving bears no liability for any donor decision made in reliance on nonprofit-provided profile information. You are encouraged to independently verify any nonprofit's information before making a donation.

4.8 Donation Screen — Fund Designation

Plain Language Summary: When you donate, you can direct your gift to the nonprofit's general fund or to a specific active fundraiser. Your selection is a designation request to the nonprofit — it is not a legally binding restriction that Piesa Giving monitors or enforces. Piesa Giving is not responsible for whether the nonprofit honors your designation.

On the donation screen, you will be prompted to select where within the nonprofit your donation should be directed:

General Fund (default): Your donation is directed to the nonprofit's general operating fund. This is the default selection. The nonprofit may apply general fund donations to any of its charitable programs and operating expenses at its discretion;

Specific Fundraiser: If the nonprofit has active fundraisers on the Platform, you may select a specific fundraiser to direct your donation toward.

Your fund designation is a request and expression of donor intent communicated to the nonprofit. IT IS NOT A LEGALLY BINDING RESTRICTION THAT PIESA GIVING MONITORS, ENFORCES, OR GUARANTEES. Piesa Giving transmits your designation to the nonprofit along with your donation but bears no responsibility for and makes no representation regarding whether the nonprofit honors, applies, or tracks your designated donation in accordance with your intent. If you have concerns about how a nonprofit applies designated donations, you must contact the nonprofit directly. Piesa Giving shall bear no liability for any nonprofit's failure to apply a donation in accordance with a donor's designation.

4.9 Donation Screen — Payment Method and Amount

On the donation screen you will select your payment method from saved Wallet options and enter your donation amount. Before confirming, you will be shown a complete fee breakdown displaying:

Your entered donation amount;

The applicable Stripe payment processing fee;

The applicable Piesa Giving platform service fee;

The net amount the nonprofit will receive after all fees are deducted.

You will also have the option to make the donation recurring by selecting that option at the bottom of the screen and choosing a schedule. A final confirmation screen will then summarize all details — including the recipient nonprofit, selected fund or fundraiser, payment method, donation amount, fee breakdown, and whether the donation is recurring. BY TAPPING THE DONATE BUTTON ON THE CONFIRMATION SCREEN, YOU CONFIRM THAT ALL INFORMATION IS CORRECT AND YOU AUTHORIZE PIESA GIVING AND STRIPE TO PROCESS THE TRANSACTION. Once you tap Donate and the transaction is authorized, your donation is final and subject to the refund policy in Section 4.6.

SECTION 5. RECURRING DONATIONS

5.1 Setting Up Recurring Donations

You may elect to set up a recurring donation to any eligible nonprofit on the Platform on a schedule of your choosing (e.g., weekly, monthly, annually). By setting up a recurring donation, you authorize Piesa Giving and Stripe to automatically charge your selected payment method on your chosen schedule until you cancel.

5.2 Canceling Recurring Donations

You may cancel any recurring donation at any time through the "Recurring Donations" section of your account on the Site or the App. Cancellation will take effect prior to the next scheduled charge. Please note that merely deleting the Piesa Giving application from your device does not cancel your recurring donation, close your account, or remove your linked payment method. You must cancel through your account settings.

5.3 Automatic Cancellation Upon Nonprofit Inactivity or Removal

If the nonprofit organization associated with your recurring donation becomes inactive, is removed from the Platform, or has its account suspended or terminated for any reason, your recurring donation to that nonprofit will be automatically canceled. Piesa Giving will use commercially reasonable efforts to notify you via email when this occurs. Piesa Giving is not responsible for any missed donations or loss of anticipated charitable impact resulting from a nonprofit's removal or inactivity. Canceled recurring donations will not be automatically redirected to another nonprofit — you may set up a new recurring donation to a different nonprofit of your choice at any time.

5.4 Failed Recurring Payments

If a recurring donation fails for any reason, including an expired card, insufficient funds, or a closed bank account, Piesa Giving will use commercially reasonable efforts to notify you via email. You are responsible for maintaining valid payment information in your account to avoid failed transactions.

SECTION 6. FEATURED AND RECOMMENDED NONPROFITS

The Platform displays featured, trending, and recommended nonprofit profiles on certain sections of the Platform. These selections are made by Piesa Giving in its sole and absolute editorial discretion and may be based on any criteria Piesa Giving deems relevant, including donor engagement, donation volume, mission alignment, seasonal relevance, or any other factor. Featured or recommended placement does not constitute an endorsement by Piesa Giving of any nonprofit, and does not reflect any judgment about the relative merit, effectiveness, or worthiness of any nonprofit compared to others on the Platform. Piesa Giving makes no guarantee that any nonprofit will be featured or that any featured placement will be maintained for any period of time.

SECTION 7. PROHIBITED USES

Plain Language Summary: The Platform exists for one purpose — enabling you to make legitimate charitable donations to verified nonprofits. Any use of the Platform for fraud, illegal activity, abuse, or any purpose other than good-faith charitable giving is strictly prohibited and will result in immediate account termination.

By using the Platform, you agree that you will not, under any circumstances:

Use the Platform for any unlawful purpose or in violation of any applicable federal, state, or local law or regulation;

Use any stolen, fraudulent, unauthorized, or misappropriated payment method to make donations;

Use the Platform to launder money, structure transactions to evade reporting requirements, or engage in any activity that violates anti-money laundering laws or financial crime statutes;

Create a false, misleading, or fraudulent account or impersonate any person or entity;

Create more than one account or access the Platform using another user's credentials;

Make donations on behalf of another person or entity without that person or entity's express authorization;

Attempt to manipulate, game, or artificially inflate donation counts, featured placement rankings, or any Platform metrics;

Attempt to reverse engineer, decompile, disassemble, or otherwise derive source code from any portion of the Platform;

Use any automated tool, bot, scraper, spider, or other automated means to access, scrape, or collect data from the Platform without Piesa Giving's express written permission;

Introduce any virus, malware, ransomware, trojan horse, worm, or other malicious code into the Platform or any related system;

Attempt to gain unauthorized access to any portion of the Platform, any other user's account, or any system or network connected to the Platform;

Interfere with, disrupt, disable, overburden, or impair the Platform or any server or network connected to the Platform;

Harvest, scrape, or collect any personally identifiable information about other users without their consent;

Use the Platform to transmit any unsolicited commercial communications, spam, or chain letters;

Use the Platform for any commercial purpose other than making personal charitable donations;

Remove, alter, or obscure any copyright, trademark, or other proprietary notice displayed on the Platform;

Violate the rights of any third party, including intellectual property rights, privacy rights, or publicity rights;

Engage in any conduct that Piesa Giving reasonably determines is harmful, offensive, fraudulent, or damaging to Piesa Giving, any nonprofit, any other user, or any third party.

Violation of any prohibited use provision constitutes a material breach of these Terms and will result in immediate termination of your account, cancellation of all recurring donations, and, where appropriate, referral to law enforcement authorities. Piesa Giving reserves the right to cooperate fully with any governmental authority investigating violations of applicable law arising from your use of the Platform.

SECTION 8. INTELLECTUAL PROPERTY

8.1 Piesa Giving's Intellectual Property

All content on the Platform, including without limitation text, graphics, logos, icons, images, audio, video, software, and the compilation thereof (collectively, "Platform Content"), is the property of Good Steward Technology Group LLC or its licensors and is protected by applicable copyright, trademark, trade secret, and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Platform solely for personal, non-commercial charitable giving purposes in accordance with these Terms. This license does not include the right to modify, reproduce, distribute, publicly display, create derivative works from, or commercially exploit any Platform Content.

8.2 User Submissions

If you submit, upload, or provide any content to Piesa Giving in connection with your use of the Platform, including feedback, suggestions, or profile information ("User Submissions"), you grant Piesa Giving a non-exclusive, royalty-free, worldwide, perpetual license to use, reproduce, modify, and display such User Submissions in connection with the operation of the Platform. You represent and warrant that you own or have all necessary rights to submit such content and that your User Submissions do not infringe any third-party rights.

SECTION 9. THIRD-PARTY SERVICES AND LINKS

9.1 Third-Party Payment Processing — Stripe

Donations are processed through Stripe, Inc. Piesa Giving is not responsible for the availability, reliability, security, or performance of Stripe's services. Any issues arising from Stripe's payment processing, including failed transactions, processing errors, unauthorized charges, or security incidents involving Stripe's systems, are governed by Stripe's terms of service and must be resolved directly with Stripe. Piesa Giving shall bear no liability for any act or omission of Stripe.

9.2 Cloud Infrastructure — Amazon Web Services

The Platform is hosted on Amazon Web Services, Inc. ("AWS") cloud infrastructure. Piesa Giving is not responsible for any Platform unavailability, data loss, or service disruption caused by AWS outages, maintenance, or failures. Piesa Giving shall bear no liability for any act or omission of AWS.

9.3 Third-Party Links

The Platform may contain links to third-party websites or resources. Such links are provided for convenience only and do not constitute an endorsement by Piesa Giving of any third-party site or its content. Piesa Giving has no control over and assumes no responsibility for any third-party site, including its content, privacy practices, or availability. Your use of any third-party site is at your own risk and subject to that site's terms of service and privacy policy.

SECTION 10. BIOMETRIC DATA, LOCATION SERVICES, AND ACCOUNT PRIVACY SETTINGS

10.1 Face ID and Biometric Authentication

Illinois Biometric Privacy Notice (BIPA): Good Steward Technology Group LLC d/b/a Piesa Giving is an Illinois company subject to the Illinois Biometric Information Privacy Act (740 ILCS 14/, "BIPA"). If you choose to use Face ID or other biometric authentication to log in to the Platform, Piesa Giving collects and uses biometric identifiers and biometric information as defined under BIPA. Your consent to this collection is required before biometric authentication is activated and is obtained separately during the account setup or settings process. You may withdraw consent and disable biometric authentication at any time through your account settings.

The Platform supports biometric authentication (Face ID or equivalent facial recognition technology) as an optional method to log in to your account. The use of biometric authentication is entirely voluntary. You may alternatively use a personal identification number (PIN) to access your account at any time without providing any biometric data.

If you elect to enable biometric authentication, the following terms apply:

What is collected: Piesa Giving, through your device's operating system (Apple iOS or Android), accesses facial recognition data to verify your identity at login. Piesa Giving does not itself store your raw biometric data — facial recognition is processed at the device level by your device's operating system (e.g., Apple Face ID) in accordance with Apple's or Google's own privacy frameworks. Piesa Giving receives only an authentication result (pass/fail) from your device.

Purpose: Biometric data is used solely for the purpose of authenticating your identity to log in to your Piesa Giving account. It will not be used for any other purpose, sold, leased, traded, or otherwise disclosed to any third party, except as required by law or legal process.

Retention: Because biometric processing occurs at the device level, Piesa Giving does not independently retain biometric identifiers or templates. Disabling Face ID in your device or account settings removes Piesa Giving's ability to authenticate you via biometrics.

Your rights: You may disable biometric authentication at any time through your account settings or your device settings. Disabling biometric login does not affect your ability to access your account via PIN or password.

BY ENABLING FACE ID OR OTHER BIOMETRIC AUTHENTICATION ON THE PLATFORM, YOU EXPRESSLY CONSENT TO PIESA GIVING'S COLLECTION AND USE OF BIOMETRIC IDENTIFIERS AND BIOMETRIC INFORMATION AS DESCRIBED IN THIS SECTION, IN ACCORDANCE WITH THE ILLINOIS BIOMETRIC INFORMATION PRIVACY ACT AND ALL OTHER APPLICABLE LAW.

10.2 Location Services

The Platform uses your device's location data to provide location-aware features, including displaying nonprofit organizations that are geographically relevant to your location (e.g., nonprofits operating in or near your city or region). Location services are optional and require your express permission through your device's operating system before Piesa Giving can access your location.

What is collected: If you grant location permission, Piesa Giving accesses your device's approximate or precise geographic location, depending on your device settings and permission level.

Purpose: Location data is used solely to personalize your Platform experience by surfacing nonprofits relevant to your geographic area. Location data is not sold to third parties and is not used for advertising targeting.

How to disable: You may revoke location permission at any time through your device's operating system settings (iOS: Settings → Privacy → Location Services; Android: Settings → Apps → Piesa Giving → Permissions). Revoking location permission will not prevent you from using the Platform but will disable location-based nonprofit recommendations.

State displayed on profile: Regardless of whether you enable location services, your state of residence as provided in your account profile will be visible to other users who view your profile. See Section 10.3 below for full details on profile visibility.

10.3 Account Privacy Settings — Public, Private, and Friends

Plain Language Summary: You control who can see your profile and your donation/follow activity through your privacy settings. Public means anyone can see it. Private means only you can see your follows and donations. Friends means only people you have accepted as friends can see that information. Your state is always visible to anyone who views your profile, regardless of privacy setting.

Piesa Giving offers three account privacy settings that govern the visibility of your profile and activity on the Platform. You may change your privacy setting at any time through your account settings.

Public Account

If your account is set to Public, any user of the Platform who views your profile will be able to see:

Your display name and profile information;

Your state of residence;

The religious nonprofit organizations you follow on the Platform;

The charitable nonprofit organizations you follow on the Platform.

BY SETTING YOUR ACCOUNT TO PUBLIC, YOU EXPRESSLY CONSENT TO THE DISCLOSURE OF YOUR NONPROFIT FOLLOWS — INCLUDING RELIGIOUS ORGANIZATION FOLLOWS — TO ALL PLATFORM USERS. YOU ACKNOWLEDGE THAT THIS INFORMATION MAY REVEAL YOUR RELIGIOUS BELIEFS, CHARITABLE INTERESTS, OR OTHER PERSONAL PREFERENCES, AND THAT YOU ARE VOLUNTARILY CHOOSING TO MAKE THIS INFORMATION PUBLICLY VISIBLE. Piesa Giving is not responsible for how other users view, interpret, or use publicly visible profile information.

Friends Account

If your account is set to Friends, only users you have accepted as friends on the Platform will be able to see:

Your display name and profile information;

Your state of residence;

The religious nonprofit organizations you follow on the Platform;

The charitable nonprofit organizations you follow on the Platform.

Users who are not accepted friends will only be able to see that your account exists and your display name. Your nonprofit follows and charitable interests will not be visible to non-friends.

Private Account

If your account is set to Private, only you will be able to see your nonprofit follows, charitable interests, and donation activity. Other users — including accepted friends — will not be able to see your nonprofit follows or charitable activity. Your state of residence will remain visible to any user who views your profile, regardless of whether your account is set to Private.

10.4 Sensitive Personal Information — Religious and Charitable Affiliation

Piesa Giving recognizes that information about the religious organizations and charities you follow or donate to may constitute sensitive personal information under applicable privacy laws, including information that may reveal your religious beliefs or practices. Piesa Giving will handle such information in accordance with its Privacy Policy. You are in control of who can see this information through your privacy settings as described in Section 10.3. Piesa Giving does not sell information about your religious or charitable affiliations to third parties.

10.5 Friends Feature and Friends List Visibility

The Platform allows users to connect with other users as "Friends." A friend connection is established only when both users have accepted each other's friend request. You may remove a friend connection at any time through your account settings. Removing a friend will immediately restrict that user's access to your profile information to the level permitted by your privacy setting for non-friends.

When another user views your profile, they may be able to see your friends list subject to your privacy setting. If your account is set to Public, any Platform user can see your friends list. If your account is set to Friends, only accepted friends can see your friends list. If your account is set to Private, no other user can see your friends list. You acknowledge that making your friends list visible — particularly on a Public account — may reveal information about your social network and associations.

10.6 Profile Picture — Upload, Visibility, Content Standards, and Reporting

Plain Language Summary: Your profile picture is visible to everyone on the platform, regardless of your privacy setting. Only upload a real photo of yourself. Fake, inappropriate, or impersonating photos will be removed. When you delete your account, your photo is permanently deleted.

You may upload a profile picture to your account. By uploading a profile picture, you acknowledge and agree to the following:

Universal visibility: Your profile picture is visible to all users of the Platform regardless of your account privacy setting (Public, Friends, or Private). There is no option to restrict profile picture visibility to friends only or to keep it private.

Your representations: By uploading any image, you represent and warrant that: (a) the image is a genuine photograph of yourself; (b) you own or have the legal right to use the image; (c) the image does not depict any other identifiable person without their express consent; (d) the image is not obscene, offensive, defamatory, sexually explicit, or otherwise inappropriate; and (e) the image does not impersonate any other person, public figure, or entity.

License to Piesa Giving: By uploading a profile picture, you grant Piesa Giving a non-exclusive, royalty-free, worldwide license to store, display, and transmit the image on the Platform solely for the purpose of displaying your profile to other users. This license terminates upon account deletion.

Deletion upon account closure: Upon deletion of your account, your profile picture will be permanently removed from the Platform and will no longer be visible to any user. Piesa Giving will delete the stored image file as promptly as technically practicable following account deletion.

10.7 Profile Picture Content Moderation and Reporting

Piesa Giving reserves the right, in its sole and absolute discretion, to remove any profile picture at any time without prior notice if Piesa Giving determines the image to be inappropriate, fake, impersonating, obscene, offensive, or otherwise in violation of these Terms. Piesa Giving will use reasonable efforts to proactively screen profile images for compliance with these standards but makes no guarantee that all non-compliant images will be identified or removed immediately.

If you encounter a profile picture that you believe violates these standards, you may report it by submitting a support ticket through the Platform. Piesa Giving will review all reported images and take appropriate action in its sole and absolute discretion. Submitting a report does not guarantee removal of the reported image. Piesa Giving shall not be liable to any user for the presence of any non-compliant profile image on the Platform prior to its removal.

10.8 Wallet — Payment Method Storage

Plain Language Summary: When you add a credit card or bank account in the Wallet section, that payment information is stored securely by Stripe — not by Piesa Giving. We never see or store your full card or account numbers. You can remove a saved payment method at any time through the Wallet section.

The Platform includes a Wallet feature where you may save credit card and bank account information for use in making donations. The following terms apply to the Wallet:

Storage by Stripe only: All payment credentials you enter — including credit card numbers, bank account numbers, and routing numbers — are transmitted directly to and stored exclusively by Stripe, Inc. Piesa Giving never sees, receives, stores, or has access to your full payment credentials at any point. Piesa Giving stores only a payment method token provided by Stripe that allows donations to be processed without exposing your actual payment details.

Authorized payment methods only: You may only save payment methods that belong to you or that you are expressly authorized by the account holder to use. Adding any unauthorized payment method to the Wallet constitutes fraud and will result in immediate account termination and referral to law enforcement.

Removing saved payment methods: You may remove any saved payment method at any time through the Wallet section of the Platform. Removal of a payment method will not cancel any active recurring donations associated with that payment method — you must separately cancel those recurring donations through the Recurring Donations section. If a saved payment method is removed while a recurring donation is active, the recurring donation may fail.

Account deletion: Upon deletion of your account, Piesa Giving will instruct Stripe to remove all saved payment tokens associated with your account. Piesa Giving is not responsible for any delay by Stripe in completing that removal.

10.9 Recurring Donations Section

The Platform includes a Recurring Donations section where you can view your active recurring donations, stop any recurring donation, and review your past recurring donation history. The following terms apply:

Canceling a recurring donation: You may stop any active recurring donation at any time through the Recurring Donations section. Cancellation will take effect before the next scheduled charge. Merely deleting the app, removing the associated payment method, or closing your account does not automatically cancel a recurring donation — you must cancel it directly through the Recurring Donations section or by closing your account as described in Section 12.

Past donation history: Your recurring donation history, including past amounts, dates, and recipient nonprofits, is stored in your account and accessible through the Recurring Donations section for as long as your account remains active. This history is retained by Piesa Giving for a minimum of seven (7) years following account closure for tax and compliance purposes, as described in the Privacy Policy.

Automatic cancellation: If the nonprofit associated with a recurring donation becomes inactive, is removed from the Platform, or has its account suspended or terminated, your recurring donation to that nonprofit will be automatically canceled as described in Section 5.3.

10.10 Notifications and Notification Settings

The Platform sends notifications to keep you informed about your account activity, donation processing, and Platform updates. You have granular control over which notifications you receive through the Notification Settings section of the Platform. The following notification types are available and can be individually enabled or disabled:

Friend requests: Notifications when another user sends you a friend request;

Nonprofit announcements: Notifications when a nonprofit you follow sends an announcement or update through the Platform;

New nonprofit recommendations: Notifications when the Platform recommends new nonprofits based on your activity;

New fundraiser notifications: Notifications when a church or charity you follow launches a new fundraiser;

Recurring donation reminders: Reminders before a scheduled recurring donation is processed;

Donation processing — email: Email notification when a donation is being processed;

Donation processing — push notification: Push notification when a donation is being processed;

Donation processed — email: Email confirmation when a donation has been successfully processed;

Donation processed — push notification: Push notification when a donation has been successfully processed;

Haptics: Device haptic feedback for Platform interactions.

You may mute all notifications at once or manage individual notification preferences at any time through the Notification Settings section. Please note that certain account-critical communications — including security alerts, account termination notices, and legally required disclosures — may be sent regardless of your notification preferences.

Nonprofit Announcements: When you follow a nonprofit and enable nonprofit announcement notifications, you consent to receiving messages from that nonprofit through the Platform's notification system. These messages originate from the nonprofit organization, not from Piesa Giving. Piesa Giving does not review, endorse, or take responsibility for the content of nonprofit announcements. You may disable nonprofit announcement notifications at any time through your Notification Settings or by unfollowing the nonprofit.

10.11 Search Feature — Finding Nonprofits and Users

Searchability Notice: Other users of the Platform can search for you by name using the Platform's search feature. Your visibility in search results is controlled by your account privacy setting. If you do not wish to be searchable by other users, you must set your account to "Only Me" in your privacy settings.

The Platform includes a search feature that allows users to search for both nonprofit organizations and other Platform users by name. The following terms govern the search feature:

Nonprofit search: Any user may search for and view nonprofit profiles listed on the Platform. Nonprofit profile information is publicly available to all Platform users regardless of the searching user's account settings;

User search — Public account: If your account privacy setting is set to Public, your profile will appear in search results when another user searches for your name. Users who click on your profile will be able to see your full public profile, including your profile picture, state of residence, the nonprofits you follow, and your friends list;

User search — Private account: If your account privacy setting is set to Private, your profile will appear in search results when another user searches for your name. However, users who click on your profile will see only your name and profile picture, along with a prompt to send you a friend request. Your nonprofit follows, friends list, and other profile details will not be visible until you accept a friend request;

User search — Only Me: If your account privacy setting is set to Only Me, your profile will not appear in search results at all. No other user will be able to find your profile through the search feature. You will still be able to use all Platform features, but your profile will be completely unsearchable by other users.

BY CREATING AN ACCOUNT WITH ANY SETTING OTHER THAN "ONLY ME," YOU ACKNOWLEDGE AND CONSENT TO YOUR NAME AND PROFILE BEING DISCOVERABLE BY OTHER PLATFORM USERS THROUGH THE SEARCH FEATURE. You are solely responsible for choosing the privacy setting that reflects your desired level of visibility on the Platform. Piesa Giving is not responsible for any contact, communication, or interaction initiated by another user who discovers your profile through the search feature.

10.12 Share with Friends and App Rating

The Platform includes a feature that allows you to share Piesa Giving with others via text message. When you use the Share feature, the Platform will prompt your device's native messaging application to compose a text message containing a link to the Platform. Piesa Giving does not access, collect, store, or transmit your contacts list — the share action is handled entirely by your device's native messaging application. You are solely responsible for ensuring you have the consent of any recipient before sharing.

The Platform also includes a Rate the App feature that redirects you to the applicable app store listing (Apple App Store or Google Play Store) where you may leave a rating and review. This feature simply opens the relevant app store page — Piesa Giving does not collect or receive any information through this feature beyond what the app store may independently provide.

SECTION 11. PRIVACY AND ELECTRONIC COMMUNICATIONS

10.1 Privacy Policy

Your use of the Platform is subject to Piesa Giving's Privacy Policy, available at https://piesagiving.com/home/security_and_privacy, which is incorporated into these Terms by reference. By using the Platform, you consent to the data collection, use, and sharing practices described in the Privacy Policy.

10.2 Electronic Communications Consent

By creating an account and using the Platform, you consent to receive electronic communications from Piesa Giving, including donation confirmations, annual donation summaries, account notifications, and service-related updates, via email and through the Platform's notification system. You agree that all electronic communications from Piesa Giving satisfy any legal requirement that such communications be in writing.

10.3 Donor Information Shared with Nonprofits

When you make a donation to a nonprofit through the Platform, your name, email address, mailing address, donation amount, and donation date will be made available to the nonprofit you donated to. By making a donation, you consent to the sharing of this information with the recipient nonprofit. You may contact the nonprofit directly if you wish to be removed from their communications. Piesa Giving is not responsible for the nonprofit's use of your information following disclosure.

10.4 Support and Account Changes

To request account changes, report issues, cancel services, or submit a support ticket, you may use your account dashboard on the Site or App, or contact Piesa Giving at info@piesagiving.com. For service change notifications, Piesa Giving will communicate via the Platform's notifications area and/or your registered email address.

SECTION 12. ACCOUNT TERMINATION AND SUSPENSION

11.1 Termination by Piesa Giving

Piesa Giving reserves the right, in its sole and absolute discretion, to suspend, restrict, or terminate your account and your access to the Platform at any time, for any reason or for no reason, with or without prior notice. Grounds for termination include but are not limited to violation of these Terms, suspected fraud or unauthorized use of a payment method, chargebacks, abusive conduct, or any activity that Piesa Giving determines is harmful to the Platform, other users, or any nonprofit. Upon termination, all recurring donations associated with your account will be automatically canceled.

11.2 Termination by You

You may close your account at any time by contacting Piesa Giving at info@piesagiving.com or through your account settings. Please note that merely deleting the Piesa Giving application from your device does not close your account, cancel your recurring donations, or remove your linked payment method. You must affirmatively close your account through the proper channels.

11.3 Effect of Termination

Upon termination of your account for any reason, you will remain liable for all obligations incurred prior to termination, including any chargebacks, fees, or other amounts owed. Termination does not relieve you of any obligations that accrued prior to the termination date. Sections 7, 8, 13, 14, 15, and 16 of these Terms shall survive termination.

SECTION 13. INDEMNIFICATION

To the fullest extent permitted by applicable law, you agree to indemnify, defend, and hold harmless Good Steward Technology Group LLC d/b/a Piesa Giving and its members, managers, officers, employees, agents, contractors, successors, and assigns from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of or inability to use the Platform; (b) your violation of any provision of these Terms; (c) your violation of any applicable law or regulation; (d) your violation of any third-party right, including any intellectual property right, privacy right, or publicity right; (e) any fraudulent, unauthorized, or improper use of any payment method in connection with your account; or (f) any dispute between you and any nonprofit organization. This indemnification obligation survives the termination of your account and these Terms.

SECTION 14. DISCLAIMERS AND LIMITATION OF LIABILITY

13.1 Platform Provided "As Is"

THE PLATFORM, ALL PLATFORM CONTENT, AND ALL SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTY OR CONDITION OF ANY KIND, EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PIESA GIVING AND ITS SUPPLIERS DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. PIESA GIVING DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

13.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL PIESA GIVING OR ANY OF ITS MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, AGENTS, OR SUPPLIERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES OF ANY KIND, INCLUDING WITHOUT LIMITATION LOSS OF DONATIONS, LOSS OF DATA, LOSS OF GOODWILL, BUSINESS INTERRUPTION, OR COST OF SUBSTITUTE SERVICES, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF OR INABILITY TO USE THE PLATFORM, REGARDLESS OF THE CAUSE OF ACTION OR THE LEGAL THEORY ASSERTED, EVEN IF PIESA GIVING HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PIESA GIVING'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY AND ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE PLATFORM SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT OF PLATFORM SERVICE FEES RETAINED BY PIESA GIVING IN CONNECTION WITH YOUR DONATIONS IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE CLAIM; OR (B) ONE HUNDRED DOLLARS ($100.00).

If you are dissatisfied with any portion of the Platform or with any of these Terms, your sole and exclusive remedy is to discontinue using the Platform and close your account.

13.3 Accuracy of Information

The information available on the Platform, including nonprofit descriptions and mission statements, may include inaccuracies or errors. Piesa Giving does not warrant the accuracy, completeness, or reliability of any information provided by nonprofit organizations on the Platform. Piesa Giving makes no representations about the suitability, reliability, or timeliness of any information on the Platform.

SECTION 15. DISPUTE RESOLUTION — MANDATORY BINDING ARBITRATION

14.1 Mandatory Binding Arbitration

ANY AND ALL DISPUTES, CONTROVERSIES, OR CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE PLATFORM SHALL BE RESOLVED EXCLUSIVELY BY FINAL AND BINDING ARBITRATION ON AN INDIVIDUAL BASIS. YOU EXPRESSLY WAIVE YOUR RIGHT TO A TRIAL BY JURY AND YOUR RIGHT TO RESOLVE ANY DISPUTE IN COURT.

14.2 Class Action Waiver

ANY ARBITRATION UNDER THESE TERMS WILL TAKE PLACE ON AN INDIVIDUAL BASIS ONLY. CLASS ARBITRATIONS, CLASS ACTIONS, REPRESENTATIVE ACTIONS, AND COLLECTIVE ACTIONS ARE NOT PERMITTED. YOU AGREE THAT YOU MAY BRING CLAIMS AGAINST PIESA GIVING ONLY IN YOUR INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PUTATIVE CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING. THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON'S CLAIMS AND MAY NOT PRESIDE OVER ANY FORM OF CLASS OR REPRESENTATIVE PROCEEDING.

14.3 Arbitration Rules and Procedures

Arbitration shall be conducted by a single neutral arbitrator in accordance with the Commercial Arbitration Rules of the American Arbitration Association (AAA). The arbitration shall be seated in Cook County, Illinois and conducted in the English language. All arbitration proceedings and the arbitral award shall be confidential. The arbitrator shall have authority to award any remedy that would be available in a court of law, subject to the limitations in Section 13.

14.4 Governing Law

These Terms and all disputes arising hereunder shall be governed by and construed in accordance with the laws of the State of Illinois, without regard to any conflicts of law principles that would require application of the law of another jurisdiction.

14.5 Pre-Arbitration Notice

Before initiating arbitration, you must provide Piesa Giving with written notice at info@piesagiving.com describing the dispute in reasonable detail and the relief sought. The parties shall engage in good-faith negotiation for thirty (30) days following delivery of such notice before either party may initiate arbitration.

14.6 Attorneys' Fees

In any arbitration proceeding under these Terms, each party shall bear its own attorneys' fees and costs, regardless of the outcome, except that the arbitrator may award fees and costs against a party that the arbitrator finds to have brought a frivolous or bad-faith claim or defense.

14.7 Exception for Emergency Relief

Either party may seek emergency injunctive or other equitable relief from a court of competent jurisdiction where necessary to prevent irreparable harm pending the resolution of a dispute through arbitration. Seeking such relief does not waive either party's right to arbitrate the underlying dispute.

SECTION 16. GENERAL PROVISIONS

15.1 Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and Piesa Giving with respect to your use of the Platform and supersede all prior and contemporaneous agreements, communications, and understandings, whether written or oral, relating to the same subject matter. A printed version of these Terms shall be admissible in any judicial or administrative proceeding to the same extent as other business documents.

15.2 Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, such provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.

15.3 No Waiver

Piesa Giving's failure to enforce any provision of these Terms shall not constitute a waiver of its right to enforce such provision in the future.

15.4 Independent Parties

Nothing in these Terms creates a joint venture, partnership, employment, or agency relationship between you and Piesa Giving.

15.5 Assignment

You may not assign or transfer any of your rights or obligations under these Terms without Piesa Giving's prior written consent. Piesa Giving may freely assign these Terms in connection with a merger, acquisition, or sale of all or substantially all of its assets.

15.6 Compliance with Law

Piesa Giving's performance of these Terms is subject to applicable laws and legal process. Nothing in these Terms limits Piesa Giving's right to comply with governmental, court, or law enforcement requests or requirements relating to your use of the Platform.

15.7 Language

It is the express wish of the parties that these Terms and all related documents be written in English.
